Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bitopex Trading LTD ("the Company," "we," "us," or "our"), a company registered at Costa Rica, Province of San José, Canton 02 Escazú, San Rafael, 300 meters north of La Paco Shopping Center, Plaza Florencia, Local Ten. By accessing, registering for, or using the HypeRocket platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement. You further represent that your use of the Platform does not violate any applicable laws or regulations in your jurisdiction.

3. Account Registration & Security

To access certain features of the Platform, you must create an account by providing accurate and complete information, including a username, email address, and password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. The Company shall not be liable for any loss or damage arising from your failure to secure your account.

4. Platform Services

The Platform provides the following services:

• Investment Services: Users may deposit USDC or $HYPE tokens into smart contracts that employ algorithmic trading strategies. Daily returns are variable and not guaranteed.
• Affiliate Program: Users may participate in a multi-level commission structure, including Unilevel, Matching, and Infinity Bonus programs, subject to the terms outlined in the Compensation Plan.
• Withdrawal Services: Users may withdraw available balances subject to applicable limits and processing times.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Platform or its services at any time, with or without prior notice.

5. Investment Terms

• Investments are made through smart contracts on the blockchain. Once deposited, funds are subject to the terms encoded in the smart contract.
• Daily returns are generated through algorithmic trading and are variable. The Company does not guarantee any specific rate of return.
• The investment cycle concludes when the User has received a total return of 210% of the original deposit through a combination of trading returns and commission earnings.
• Upon full withdrawal of all funds, the User's eligibility for commission earnings from the affiliate program will be suspended until a new active investment is made.
• Weekly withdrawals are limited to a maximum of 15% of the active deposit amount.
• Users may reinvest available earnings to increase their active investment position.

6. Affiliate Program Terms

• Participation in the affiliate program requires an active investment on the Platform.
• Commission structures and percentages are subject to change at the Company's discretion.
• The Company reserves the right to investigate and take action against any participant suspected of engaging in fraudulent, deceptive, or manipulative practices within the affiliate program.
• Commission earnings are calculated based on the activity and investment behavior of referred participants. The Company does not guarantee any minimum commission earnings.
• The Company may modify, suspend, or terminate any participant's affiliate privileges at any time for violations of these Terms or for conduct deemed harmful to the Platform or its community.

7. Prohibited Activities

You agree not to engage in any of the following activities:

• Using the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Creating multiple accounts, using false identities, or providing misleading information
• Attempting to manipulate, exploit, or interfere with the Platform's systems, smart contracts, or trading algorithms
• Engaging in market manipulation, wash trading, or any form of fraudulent activity
• Making false, misleading, or exaggerated claims about potential earnings when promoting the Platform
• Using automated systems, bots, or scripts to interact with the Platform without prior written authorization
• Attempting to reverse-engineer, decompile, or disassemble any part of the Platform
• Harassing, threatening, or abusing other users or Company personnel

8. Intellectual Property

All content, trademarks, logos, designs, software, and other intellectual property displayed on or associated with the Platform are the exclusive property of Bitopex Trading LTD or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. Any unauthorized use, reproduction, or distribution of the Company's intellectual property is strictly prohibited.

9. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BITOPEX TRADING LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE DEPOSITED ON THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bitopex Trading LTD, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federation of St. Christopher and Nevis, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered in Costa Rica. The arbitration shall be conducted in English. Each party shall bear its own costs and expenses in connection with the arbitration, unless the arbitrator determines otherwise.

13. Termination

The Company reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
